Affiliate Terms & Conditions

These Affiliate Terms & Conditions ("Affiliate Terms") govern participation in the Stock Market College Affiliate Program ("Program") operated by Harzel, Inc., trading as Stock Market College ("Company", "we", "us", or "our").
By applying to, enrolling in, or participating in the Program, you ("Affiliate", "you", "your") agree to be bound by these Affiliate Terms, together with our Website Terms & Conditions, Terms of Purchase / Terms of Service, Privacy Policy, Refund Policy, Disclaimer, and Trading Risk Disclosure (collectively, the "Agreements"). If there is any conflict, these Affiliate Terms shall prevail with respect to the Affiliate Program.
1. Affiliate Relationship
Participation in the Program does not create any partnership, joint venture, employment, agency, or fiduciary relationship between you and the Company.
You act solely as an independent contractor. You have no authority to bind, represent, or make commitments on behalf of the Company.
2. Eligibility & Enrolment
To participate as an Affiliate, you must:
- Be 18 years of age or older
- Provide accurate and complete application information
- Be approved by the Company at its sole discretion
The Company reserves the right to approve, reject, suspend, or terminate any Affiliate application or account at any time, with or without cause.
3. Affiliate Links & Tracking
Upon approval, you may receive a unique referral link, code, or tracking mechanism ("Affiliate Link").
- Commissions are tracked only through approved Affiliate Links
- You are responsible for ensuring correct use of your Affiliate Link
- The Company is not responsible for tracking failures caused by browser settings, ad blockers, cookie rejection, or technical issues
Tracking duration, attribution rules, and commission structures may vary and will be communicated separately or via the Affiliate dashboard.
4. Commissions
Commissions:
- Are earned only on qualified purchases completed through your Affiliate Link
- Are calculated based on the commission rate in effect at the time of purchase
- Exclude taxes, chargebacks, refunds, disputed payments, and failed transactions
Refunds & Chargebacks
- No commission is payable on refunded or charged-back transactions
- If a commission has already been paid and a refund or chargeback occurs, the Company may deduct the amount from future payouts
The Company reserves the right to delay commission payments to account for refund and dispute windows.
5. Payment of Commissions
Affiliate payouts:
- Are paid daily with no minimum payout threshold
- Are processed via approved payment methods only
You are solely responsible for:
- Providing accurate payment information
- Declaring and paying any taxes related to affiliate earnings
6. Promotional Guidelines
You agree to promote Stock Market College in a truthful, ethical, and lawful manner.
You may not:
- Make false, misleading, or exaggerated claims
- Guarantee profits, trading success, income, or results
- Represent the Company as providing financial, investment, or trading advice
- Impersonate the Company or present yourself as an employee or official representative
- Use spam, unsolicited messaging, or deceptive marketing practices
All promotions must align with the Company's Disclaimer, Trading Risk Disclosure, and applicable advertising laws.
7. Prohibited Activities
The following activities are strictly prohibited:
- Self-referrals or attempts to earn commissions on your own purchases
- Cookie stuffing, link manipulation, or fraudulent tracking practices
- Paid advertising using the Company's brand name, trademarks, or domain names without written approval
- Use of misleading domain names, social media handles, or branding that suggests official ownership
- Offering unauthorised bonuses, rebates, or incentives
Engaging in prohibited activities may result in immediate termination and forfeiture of unpaid commissions.
8. Intellectual Property & Brand Usage
The Company grants you a limited, non-exclusive, revocable license to use approved marketing materials solely for participation in the Program.
You may not:
- Modify logos, trademarks, or brand assets
- Register domains, pages, or accounts using Company trademarks
- Use Company branding in a way that causes confusion or misrepresentation
All intellectual property remains the exclusive property of the Company.
9. Compliance with Laws
You agree to comply with all applicable laws, regulations, and advertising standards, including but not limited to:
- Consumer protection laws
- Advertising and marketing regulations
- Data protection and privacy laws (GDPR, POPIA, etc.)
Where required, you must clearly disclose your affiliate relationship (e.g. "I may earn a commission").
10. No Guarantees
The Company makes no guarantees regarding:
- Commission amounts
- Conversion rates
- Program performance
- Continued availability of the Program
Affiliate success depends on many factors beyond the Company's control.
11. Termination
Either party may terminate participation in the Program at any time.
Upon termination:
- Your Affiliate Links become inactive
- All licenses granted under these Terms are revoked
- Unpaid commissions may be forfeited if termination resulted from a breach
Termination does not affect accrued rights related to fraud, misuse, or legal claims.
12. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of revenue, data, or expected earnings
- Program interruptions or tracking issues
If liability cannot be excluded, it shall be limited to commissions paid to you in the preceding 3 months.
13. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, losses, liabilities, or expenses arising from:
- Your promotional activities
- Your breach of these Affiliate Terms
- Any violation of law or third-party rights
14. Modifications
The Company may update these Affiliate Terms at any time. Updated versions will be posted on the Website with a revised "Last updated" date.
Continued participation in the Program constitutes acceptance of the updated Terms.
15. Governing Law & Dispute Resolution
These Affiliate Terms are governed by the laws of the State of Delaware, United States of America.
Any disputes shall be resolved in accordance with the dispute resolution provisions contained in the Website Terms & Conditions and Terms of Purchase, including mandatory mediation prior to litigation.
